Terms of Service

A legal disclaimer

General Terms

  • Changes & Revisions: One round of revisions is included in the quoted price.  Additional rounds of changes will be billed at our standard rates as outlined on the change policy page. We will correct any spelling, grammatical, or factual errors at no additional cost.

  • Liability & Indemnity: You agree to hold Noize Pty Ltd harmless from any claims or damages arising from the services provided. This includes liabilities related to content, design, and execution of the work. You are also responsible for ensuring that materials comply with relevant laws.

  • Client Collaboration: Successful projects require collaboration. We'll do our part diligently – we ask that you provide timely information and feedback. Dormant projects (those inactive for 30+ days due to lack of client response) may incur a reactivation fee of up to 10% of the project value.

  • Ad-hoc Support & Subscriptions: A valid debit or credit card is required on file. Payments will be processed through Stripe and Keeper.

  • Additional Service Charges:  Work outside the agreed proposal will be billed according to our standard rates.

  • Website Hosting & Subscription Fees:  Hosting, domain, and software subscription costs may be billed directly by Noize Pty Ltd or third-party suppliers. Suspension of services may occur for delinquent accounts.

  • Advertising & Management Fees: Our base charge is $1,000 per month or 20% of ad spend (whichever is higher), plus GST.  Monthly billing and performance reports will be provided.

  • Credit Policy: All credits may only be applied to services directly produced by Noize Pty Ltd.

  • Project Timelines: Timelines are estimates and may change due to resource availability, client feedback turnaround, and scope adjustments.  We'll notify you of any significant timeline changes.

  • Confidentiality: Both parties agree to maintain confidentiality regarding proprietary information shared during the project.

  • Use of Trademarks:  All company names, product names, logos, and trademarks used in project materials remain the property of their respective owners.

  • Portfolio Rights: Noize Pty Ltd may display work that we have created for clients in its portfolio, unless otherwise agreed in writing.

  • Service Suspension or Termination: Noize Pty Ltd may suspend or terminate services at its discretion, providing reasonable notice and transition support, if necessary.

  • Warranty of Authority: You warrant that you have the legal authority to produce and distribute the created materials. Noize Pty Ltd may suspend or withdraw content in violation of legal or regulatory standards.

  • Severability and Validity:  If any provision of these terms is deemed unenforceable, it will not affect the validity of the remaining provisions.

  • Amendments: Noize Pty Ltd may amend these Terms with notice. New projects or services will be subject to the most current version of the Terms.

  • Disclaimer: Past performance is not a guarantee of future results. Projections and simulations are based on assumptions and may vary.

 

Incub8 Rollout Suite Terms

Subscription and Agreement: By subscribing to the Incub8 proposal, you agree to the following terms, effective from the service start date:

  • Payment Terms:  You agree to adhere to the specified payment schedule in your Incub8 Proposal.

  • Payment Pause Option: You may request a temporary payment pause for up to two weeks annually without incurring additional costs. Pausing your plan will extend the minimum term accordingly.

  • Ownership:  During the agreement, the Incub8 infrastructure is co-owned by you and Noize Pty Ltd. Upon completion of the agreement or early payment, full ownership transfers to you.

  • Late Payment Fees:  A $199 administrative fee will be applied for each missed payment to cover additional bookkeeping and accounts receivable costs.

  • Payment Processing: Your Incub8 payments are processed via debit or credit card through Stripe.

  • Cancellation Policy:  To cancel your Incub8 plan, you must pay the remaining balance of your proposal and provide written notice. This ensures full compensation for Noize Pty Ltd for the resources allocated and work completed.

  • Project Rollout Structure: We follow a structured rollout process: Strategy > Brand > Communications > Administration > Design > Digital > Audio Visual > Softwares. Work requested by the client, not included in the rollout will be billed separately to account for the additional resources and planning involved.

  • Changes to Scope:  Any changes to the project scope, whether they increase or decrease the workload, will be communicated to you in writing.  Following this notice, the terms of the agreement, including costs and timelines, may be adjusted. 

  • Reverting to Standard Pricing:  Removing or changing items from the agreed rollout may result in reverting to the standard Recommended Retail Price (RRP) for the entire project. 

  • Client Proposal Modifications: Once the proposal has been initiated, any requests to modify the scope or terms must be made in writing and are subject to Noize Pty Ltd's approval.

 

Acceler8 Plan Terms

  • Cancellation Policy: You may cancel your Acceler8 plan with one month's written notice (after fulfilling your minimum term), subject to payment of any outstanding bonuses received upfront.

  • Ownership: The infrastructure within your Acceler8 plan is co-owned by you and Noize Pty Ltd throughout the agreement. Upon cancellation, Noize Pty Ltd will charge its standard rates to complete any necessary transfers.

  • Payment Guidelines: Payments via debit or credit card are required. A $199 administrative fee applies to missed payments.

  • Payment Pause Option: You may pause your plan for up to two weeks annually without additional cost. Pausing extends the minimum term accordingly.

  • Advertising Costs: Advertising costs are not included in the Acceler8 plan and are billed directly by the supplier.

  • Agreement: By subscribing to the Acceler8 plan, you accept these terms, effective from the service start date.
